1. Introduction

1.1 These terms and conditions govern the services provided by WordPress Maintenance Co. (“we,” “our,” or “us”) to the customer (“you” or “the client”). By engaging with our services, you agree to be bound by these terms and conditions.

1.2 We reserve the right to update or modify these terms at any time. Any changes will be posted on our website, and your continued use of our services will be deemed acceptance of those changes.

2. Services Provided

2.1 Our services include the maintenance, support, and updates of WordPress websites, including, but not limited to, plugin and theme updates, security monitoring, website backups, performance optimisation, and general troubleshooting.

2.2 We will provide services based on the plan you choose, as outlined in the agreement between you and WordPress Maintenance Co. Specific services included in each plan will be detailed on our website or in a separate service agreement.

2.3 Additional services beyond the agreed scope of maintenance may incur additional charges. You will be notified in advance of any additional fees.

3. Client Responsibilities

3.1 You are responsible for providing access to your WordPress website, hosting provider, and any other services necessary for us to perform the maintenance.

3.2 You agree to inform us of any significant changes or updates to your website, such as new plugins, themes, or custom code, which may affect our ability to provide maintenance.

3.3 You must maintain adequate backups of your website. We can provide backups as part of our service, but we do not guarantee complete restoration if something goes wrong.

4. Fees and Payment

4.1 Fees for our maintenance services will be as outlined in the agreed-upon service plan or contract. Payment is due upon invoice, which will be issued monthly, quarterly, or annually, depending on your plan.

4.2 Late payments may incur a late fee of 5% of the total invoice amount per month.

4.3 Payments will be collected by direct debit.

5. Termination and Cancellation

5.1 Either party may terminate the service agreement by providing 30 days’ written notice.

5.2 If you cancel your service before the end of the billing period, no refunds will be provided for the unused portion of the service. Payments made prior to cancellation are non-refundable.

5.3 We reserve the right to terminate the agreement if there is a breach of these terms or if payment is not received after 30 days of the due date.

6. Liability and Disclaimer

6.1 While we make every effort to ensure the smooth operation and maintenance of your website, we do not guarantee that the services will be uninterrupted or error-free.

6.2 We are not liable for any losses or damages caused by third-party services or external factors outside of our control, including but not limited to hosting issues, cyberattacks, or software incompatibilities.

6.3 We will not be held responsible for any data loss or damage to your website as a result of actions taken during maintenance. We recommend regular backups and the maintenance of a full, up-to-date backup of your website.

7. Confidentiality

7.1 Both parties agree to keep all information, including business, technical, and personal data, confidential and not disclose it to third parties without prior written consent, except where required by law.

8. Indemnification

8.1 You agree to indemnify and hold harmless WordPress Maintenance Co. from any claims, liabilities, losses, or damages arising from your website or its content, including third-party claims related to the website.

9. Intellectual Property

9.1 Any intellectual property related to the website, including logos, designs, and content, remains the property of the client, unless otherwise agreed upon.

9.2 We may retain ownership of any tools, templates, or processes developed by us during the provision of services.

10. Governing Law

10.1 These terms and conditions will be governed by and construed in accordance with the laws of the United Kingdom, and any disputes will be resolved within the courts of the United Kingdom.
